Terms of Use

Welcome to Toldya (the "App," "we," "us," or "our"), a social platform where users share sports predictions ("takes") and rate how those predictions turn out. By creating an account or using the App, you agree to these Terms of Use (the "Terms"). If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old to use the App. If you are under the age of majority where you live, you may use the App only with the involvement of a parent or guardian. You are responsible for all activity on your account and for keeping your login credentials secure.

2. Your Content

You retain ownership of the content you post (takes, comments, ratings, profile information, and images — "User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute it within and in connection with the App — including through shareable links to takes, which may be viewed by anyone who has the link — for the purpose of operating and providing the service. You are solely responsible for your User Content and represent that you have the rights to post it and that it does not violate these Terms or any law or third-party right. Not all content in the App is User Content — see Section 6 for content posted by tracker accounts that we operate.

3. Acceptable Use and Zero Tolerance for Objectionable Content

There is no tolerance for objectionable content or abusive behavior. You agree that you will not post, share, or engage in content or conduct that:

• is unlawful, harassing, threatening, defamatory, or invasive of privacy;
• is hateful or discriminatory, or incites violence;
• is obscene, pornographic, or sexually explicit;
• infringes any intellectual property or other right;
• impersonates any person or entity, or is spam or a scam;
• encourages illegal gambling or provides betting/financial advice.

We may remove content and suspend or terminate accounts that violate these Terms, at our discretion.

4. Reporting, Blocking, and Moderation

You can report objectionable content or users, and you can block other users, from within the App (long-press a post or comment). We review reports and act on violations, which may include removing content and removing or banning the responsible users. We aim to act on reports of objectionable content promptly. We are not obligated to monitor User Content, and we are not responsible for User Content posted by others.

5. Predictions and Ratings — No Betting or Financial Advice

The App is for entertainment and discussion only. Takes, ratings, and any scores — including the accuracy score shown on a tracker account and any "best" or "worst" ranking — are opinions and community ratings of the specific takes posted in the App. They are not statements of fact about any person's overall credibility, character, or professional ability. Nothing in the App is betting, wagering, gambling, investment, or financial advice, and we do not facilitate any of the foregoing. Do not rely on the App for any financial or wagering decision.

6. Tracker Accounts and Automated Content

Some accounts in the App are operated by us rather than by an individual user. These "tracker" accounts (for example, "Cowherd Take Tracker") follow the publicly broadcast predictions of a commentator or show and post them so the community can rate how they turn out. Tracker accounts are labeled as such in the App, and:

• They are unofficial. They are not operated, authorized, endorsed, reviewed, or sponsored by the commentator, show, podcast, or network they track, and they do not speak for them.
• They are attributed, not impersonating. Each take names the source commentator and/or show and the date it aired.
• They are paraphrases. Takes summarize, in our own words, predictions made in a publicly available broadcast, for the purpose of commentary and criticism. They are not transcripts or verbatim quotations.
• They are produced with automated tools, including AI, and reviewed before posting. Automated summarization can still get things wrong: a take may misstate a prediction, drop context, or attribute a statement imprecisely. Do not treat a tracker take as a quotation or as an authoritative record of what someone said.

If you are, or represent, a commentator or show tracked by one of these accounts and you want a take corrected or removed — or the account itself removed — contact us at toldyahottakes@gmail.com and we will act on it promptly.

7. Intellectual Property; No Affiliation

The App and its software, design, and trademarks are owned by us or our licensors. Team names, player names, league names, and the names of commentators, shows, podcasts, and networks referenced in the App belong to their respective owners and are used for identification, commentary, and criticism only. The App is not affiliated with, endorsed by, or sponsored by any sports team, player, league, commentator, show, podcast, or network.

8. Account Deletion

You may delete your account at any time from Edit Profile within the App. Deleting your account permanently removes your profile and associated content, as described in our Privacy Policy.

9. Disclaimer of Warranties

The App is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from or related to your use of the App. Our total liability for any claim relating to the App will not exceed one hundred U.S. dollars (US $100).

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the App, or your violation of these Terms or any law or third-party right.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the App will be subject to the exclusive jurisdiction of the state and federal courts located in New York.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted in the App and are effective when posted. Your continued use of the App after changes take effect constitutes acceptance.

14. Severability and Entire Agreement

If any provision of these Terms is found invalid, the remaining provisions remain in effect. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the App.
